DEALER GUIDE

How to Prepare BHPH Accounts for Sale

A clean first-look package can help a broker understand your portfolio and identify potential buyer fit before detailed due diligence begins.

You do not need to send complete customer files just to start a conversation. Begin with portfolio-level and account-level information that describes the receivables without exposing sensitive consumer information through ordinary email or a public web form.

1. Start with a portfolio summary

Prepare the number of accounts, approximate unpaid principal balance, average account balance, average seasoning, typical payment frequency, average remaining term, geographic concentration, and whether you are considering a full or partial portfolio sale.

2. Build a clean account-level data file

For an initial review, useful fields may include an anonymous account identifier, origination date, original amount financed, current principal balance, payment amount, payment frequency, contractual maturity, number of payments made, delinquency status, vehicle year/make/model, and other non-sensitive fields requested for the review.

Do not put customer names, Social Security numbers, bank information, account numbers, driver's-license numbers, or other sensitive consumer information into the AutoNoteBuyers.net public form. If detailed files are needed later, use the secure process specified for the transaction.

3. Reconcile the payment history

Make sure payment ledgers are current and that principal balances, payment dates, extensions, deferments, late payments, and other servicing activity are accurately reflected. Inconsistent records can slow buyer review.

4. Organize contract and collateral documentation

During due diligence, a buyer may request retail installment contracts, title and lien evidence, deal documentation, vehicle information, and servicing records. Having records organized before due diligence can reduce avoidable delays.

5. Review and select the proposed sale pool

Before the opportunity is marketed, identify accounts that are delinquent, recently originated, missing documents, subject to title issues, have unusual payment arrangements, or otherwise differ from the stronger core accounts. Financial Solutions can help review the account mix and determine which receivables may be appropriate to include in the proposed sale pool and which may be better retained.

Sale-pool selection does not mean hiding portfolio performance. The accounts being offered should be described accurately, and if a potential buyer requests broader portfolio performance or other required information during evaluation or due diligence, that information should be provided accurately.

6. Decide what you actually want to accomplish

A dealer may want liquidity for inventory, working capital, growth, concentration reduction, or a change in collection exposure. Knowing whether you want to sell a selected pool or an entire portfolio helps Financial Solutions focus the marketing process.

What happens after the first look?

Financial Solutions reviews the opportunity as a broker and can identify appropriate potential buyers. Interested buyers determine their own underwriting, due diligence, eligibility, pricing, and final transaction terms. You decide whether an available transaction makes sense for your dealership.
